Social Media Management Terms & Conditions

Applies To: All clients purchasing any social media management package
1. Agreement to Terms
By purchasing or signing up for any service package, the Client confirms they have read, understood, and agreed to these Terms & Conditions. These terms apply to all current and future services unless otherwise agreed in writing.
2. Scope of Services
Services provided will be limited to those included within the selected package. This may include:
Content creation
Caption writing
Scheduling
Platform management
Engagement
Reporting
Any services outside the chosen package will require written agreement and may incur additional fees.
3. Contract Length & Renewal
All packages require a minimum commitment period stated at purchase. After this term, services will continue on a rolling basis unless cancelled in writing with the required notice period.
4. Payment Terms
All payments must be made in advance unless otherwise agreed.
Payments are non-refundable once work has commenced. Work shall be deemed to have commenced once onboarding has begun, strategy development has started, or any content creation has taken place.
Late payments may incur statutory interest and recovery costs pursuant to the Late Payment of Commercial Debts (Interest) Act 1998.
Continued non-payment may lead to account termination.
5. Client Responsibilities
The Client agrees to:
Provide login access, brand assets, and relevant materials when requested
Respond to approvals or queries promptly
Ensure all supplied information is accurate and lawful
Delays in client communication may affect posting schedules, performance, or deadlines.
6. Content Approval
Where approval is required, content must be approved within the stated timeframe. If no response is received, content may be postponed or rescheduled. The Client assumes responsibility for all approved content once published.
7. Access & Security
The Client is responsible for maintaining secure access to their accounts. We are not liable for losses, restrictions, or issues caused by:
Platform outages
Hacking or breaches
Platform policy changes
Third-party interference
8. Results Disclaimer
We do not guarantee specific performance results including follower growth, engagement, website traffic, or sales. Social media outcomes depend on external factors beyond our control.
9. Intellectual Property
All content created remains the property of Sayers Social Ltd until invoices are paid in full. Once paid, ownership transfers to the Client. We reserve the right to display completed work for portfolio and marketing purposes.
10. Confidentiality
All client information, materials, and account data will be kept confidential and used solely for service delivery.
11. Termination
Either party may terminate services after the minimum term by providing written notice as outlined in the client’s package agreement. If the Client terminates services during the minimum commitment period, the full remaining balance for that period becomes immediately payable.
Immediate termination may occur if:
Payments are overdue
The Client breaches these Terms
The Client engages in unlawful or abusive conduct
Outstanding balances remain payable upon termination.
12. Limitation of Liability
To the fullest extent permitted by law, liability shall be limited to the amount paid for services within the previous 30 days. We shall not be liable for indirect, incidental, or consequential losses.
13. Amendments
We reserve the right to amend these Terms. Clients will be notified of any material changes. Continued use of services following notification constitutes acceptance of the updated Terms.
14. GDPR
We process personal data in accordance with UK GDPR and the Data Protection Act 2018. Where required, a separate Data Processing Agreement may be entered into.
15. Force Majeure Clause:
We shall not be liable for failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, government action, internet failures, platform restrictions, or illness.
16.Indemnity Clause
The Client agrees to indemnify and hold Sayers Social Ltd harmless against any claims, losses, or liabilities arising from materials supplied by the Client or from the Client’s business activities.
17. Governing Law
These Terms & Conditions are governed by the laws of England and Wales.
